Charitable recognition

Dear Members:

We are happy to inform you that Pan Gregorian Enterprises of Upper New York was recently recognized by Dutchess Outreach, a recipient of our Charitable Foundation. A reception was held at the Henry Wallace Visitor and Education Center at the FDR Library on June 7, 2012. Deborah Layug, our Office Administrator  and Allen Delmar, our Rebate Data Manager were able to attend and they accepted a beautiful plaque on behalf of the organization. We are proud of our continued ability to help those in need and with your continued support shall do so well into the future. Please feel free to come into the office at anytime to see the plaque or just to talk.

Letter from the Board

May 18, 2012
Dear Members:
It has been brought to our attention that members of Pan Gregorian Enterprises of Upper New York (the “PGEUNY”) have recently received a letter that begins with “Ela bre Tony”. It creates the impression that it was originated from our Poughkeepsie Office. This letter DID NOT originate from PGEUNY. In fact, our office received the same letter on May 9, 2012, with a typed return address of one of our members. This member denies writing the letter.
PGEUNY is unaware of the individual(s) behind this disparaging and slanderous letter. The attacks upon PGEUNY are unfortunate given our collective efforts since April 2010 to protect PGEUNY’s purpose, which is to
act for the mutual benefit and on behalf of independent diner and restaurant owners that are members of the Cooperative in order to assist and perform services in, and to negotiate regional contracts for, the purchase of food, supplies and equipment necessary for the operation of diners and restaurants or any other type of food industry business; . . . and to cultivate a cooperative spirit and to promote social and recreational activities and programs for the benefit of the Cooperative’s members.
The cooperative spirit of members, such as yourself, have enabled PGEUNY to address past fiduciary duty breaches, such as the unlawful imposition of a $125,000.00 purchase limitation, the improper use of PGEUNY resources to implement competing organizations, the unlawful distribution of funds, the improper gifting of a loan to a prior board member, the failure to produce proper financial audits, the failure to adequately maintain books and records, and the failure to be open in allowing members access to minutes, books and records. Since the April 2010 commencement of the Shareholder Derivative action on behalf of PGEUNY and the resulting settlement, the PGEUNY has become stronger because of members like you.
Thus, we take this time to thank you for your membership and the cooperative spirit that you have helped cultivate. We ask that if you do receive this disparaging letter that you disregard it and contact us upon receipt. Once again, thank you for your membership and we look forward to continuing to maintain our purpose.
